General Terms and Conditions of Use

Article 1: Definitions• “Asset": means an an asset listed on the Site for potential sale and/or transfer
• "Credentials": refers to a login and password allowing access to the Site.
• “HPC”: means NNB Generation Company (HPC) Limited
• “MyTroc”: means [insert details here]
• “Site” or “HPC Asset Repurpose Website”: refers to the website https://assetrepurpose-hpc.mytroc.pro/
• “User”: refers to a person authorized to bind their organization.
The HPC Asset Repurpose Website is a service for reusing equipment and materials no longer required by their current owner and/or user within the Hinkley Point C project.
The Site is administered and operated by HPC and is designed and hosted by MyTroc.
These terms must be accepted by any User wishing to access the Site. Access to the Site by a User signifies their knowledge and acceptance of these General Terms and Conditions of Use.
The General Terms and Conditions may be updated from time to time. The applicable version of the General Terms and Conditions of Use is the one in effect at the time a User accesses the Site.
Article 3: Site Accessibility and AvailabilityThe Site is designed to be accessible from anywhere to any User with internet access and a compatible device (computer, smartphone, tablet, etc.).
If the User accesses the Site from a country other than England and Wales, they agree to comply with the locally applicable laws. The equipment, software, and telecommunications resources required to access the Site are the sole responsibility of the User.
The Site is generally accessible 24 hours a day, 7 days a week. However, HPC and/or MyTroc reserves the right, without prior notice or compensation, to temporarily close the Site or some of its features at any time for any reason.
Article 4: Nature of the SiteIn using the Site, Users acknowledge and agree that:
• Neither HPC nor Mytroc take any responsibility for the accuracy or availability of any Assets listed on the Site.
• Assets listed on the Site may belong to HPC or another User who has arranged for it to be listed. HPC can give no warranties or guarantees in respect of the ownership of any Assets which are not the property of HPC.
• The listing of an Asset on the Site does not in any way constitute an offer for sale (or any other transfer of title) and is purely intended to show a potential Asset that may be transferred to an interested party subject entirely to HPC’s approval in its sole and absolute discretion.
• In using the Site Users are not in any way contracting to buy or otherwise take title to a listed Asset but can express an interest in acquiring an Asset, with any subsequent sale or transfer of title being subject entirely to HPC’s approval in its sole and absolute discretion.
• If one of more Users expresses an interest in acquiring an asset, HPC will in its sole and absolute discretion decide to which party (if any) such Asset should be transferred (the “Transferee”). HPC is under no obligation to agree to the sale or transfer of an Asset to any party and an Asset may be withdrawn from the Site at any time.
• Any sale or transfer of title to which HPC approves may require ownership in the relevant Asset to be legally transferred, in which case this will be effected through a separate agreement between the current owner of the Asset and the Transferee and is not covered by these General Terms and Conditions of Use.
• HPC takes no liability whatsoever for, and makes no warranties or representations in respect of, the quality, adequacy or condition of any Assets and any Transferee shall use such asset entirely at its own risk and without any recourse to HPC.
The information on this Site comes from sources considered reliable. However, this information may contain technical inaccuracies and typographical errors.
Furthermore, the information available on the Site is subject to change at any time.
Neither HPC nor MyTroc can under any circumstances be held liable for any damage of any kind resulting from the interpretation or use of the information available on the Site.
Article 6: User ResponsibilitiesThe use of information available on the Site is the sole responsibility of the User, who assumes all consequences that may arise therefrom, without HPC or MyTroc being held liable in this respect.
The User agrees to only publish content that is truthful. They also agree not to disclose any confidential information on the Site.
Users agree to comply with all applicable laws and regulations and not to use the Site for any unlawful purpose. They are also responsible for all content, data, information, messages, material proposals, material requests, and offers made on the Site. In particular, they agree not to publish content that may infringe upon the rights of third parties, that is offensive, defamatory, or that constitutes incitement to racial hatred or the commission of a crime.
Any legal action brought by an injured third party against the Site will be borne by the User or their legal representative.
Failure by the User to comply with its obligations may result in the removal of any contentious material and the permanent deletion of the User’s account by HPC without prior notice.
Article 7: Intellectual PropertyThe trademarks and logos (semi-figurative marks) of HPC, EDF and the EDF Group companies appearing on the Site are registered trademarks. Any reproduction or representation, in whole or in part, alone or integrated with other elements, without the express prior written authorization of HPC, EDF and/or the relevant EDF Group companies is strictly prohibited.
EDF reserves the right to remove without delay, and without prior notice, any content posted to the Site by any User.
Article 8: HyperlinksUsers may only post links to external websites with HPC’s prior and express authorization.
HPC cannot under any circumstances responsible for the content of any external sites accesses through links on the Site, or for any collection and transmission of personal data, installation of cookies, or any other process serving the same purpose, carried out by such external sites.
Without prejudice to its other rights and remedies, HPC reserves the right to remove links from the Site at any time.
Article 9: Applicable Law and JurisdictionThese Terms and Conditions are governed by the laws of England. In the event of a dispute between the parties that cannot be resolved amicably, the courts of England and Wales shall have jurisdiction.
